1. Overview

1.1 What Tetrixx Is

Tetrixx Financial Analyst CoPilot is a cloud-based Software-as-a-Service (“SaaS”) platform designed to assist users in conducting financial research, analysing market information, evaluating investment opportunities, preparing portfolio reviews, assessing financial risks, and generating evidence-based analytical outputs through the responsible application of artificial intelligence.

The Platform is designed to support, but not replace, independent human judgment. Nothing in the Platform constitutes a regulated advisory relationship unless expressly agreed in a separate written agreement executed by an authorised officer of Tetrixx.

1.2 Contract Formation

A legally binding contract is formed immediately when you:

• create a Tetrixx account;
• purchase a subscription;
• accept these Terms electronically;
• access any protected feature of the Platform; or
• continue using the Platform after being notified of amendments.

Electronic acceptance constitutes valid execution for all legal purposes under applicable Nigerian law.

1.3 Amendments

Tetrixx reserves the right to amend these Terms at any time. Material changes will be communicated through the Platform or by email with reasonable advance notice. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.

Incorporated Legal Documents

The following documents form part of the agreement users accept before accessing the Platform. If there is a conflict between a specific enterprise order form and these public terms, the signed enterprise agreement controls for that customer to the extent stated in that agreement.

2. Eligibility

2.1 Individual Users

By accessing the Platform, you represent and warrant that:

• you are at least 18 years of age or have attained the age of majority in your jurisdiction;
• you possess legal capacity and authority to enter into these Terms;
• all information you provide to Tetrixx is true, complete, accurate, and current;
• you are not prohibited by any applicable law, court order, sanction, or regulatory restriction from accessing the Platform;
• you are not acting on behalf of any individual or entity without proper authorisation.

2.2 Corporate & Institutional Users

Where you register on behalf of a company, partnership, financial institution, government agency, trust, or other legal entity, you personally represent and warrant that you have full authority to bind the entity and have obtained all internal approvals necessary to execute these Terms.

2.3 Restricted Jurisdictions

The Platform may not be available in all jurisdictions. You are solely responsible for determining whether access to the Platform is lawful within your jurisdiction. Tetrixx may suspend or prohibit access where applicable law, sanctions, or licensing requirements so require.

3. Your Account

3.1 Registration

To access certain Services you must establish a Tetrixx account and provide accurate, complete, and up-to-date information including your full legal name, email address, country of residence, and professional status.

3.2 Account Security

You are responsible for:

• maintaining the confidentiality of your login credentials;
• using strong passwords and enabling multi-factor authentication where available;
• preventing unauthorised access to your account;
• immediately notifying Tetrixx of any suspected compromise at security@tetrixx.com.

You remain responsible for all activities under your account until Tetrixx receives and reasonably acts upon a notification of compromise.

3.3 Account Suspension & Termination

Tetrixx may immediately suspend or permanently terminate an account where:

• these Terms have been breached;
• fraudulent, unlawful, or abusive activity has occurred;
• false information was provided at registration;
• payment obligations remain outstanding;
• applicable law or a regulatory authority requires suspension.

You may close your account at any time by following the prescribed procedures. Closure does not extinguish accrued payment obligations or affect data Tetrixx is legally required to retain.

4. Services

4.1 What We Provide

Subject to your Subscription, Tetrixx may provide:

• AI-powered financial research assistance;
• market intelligence aggregation and data visualisation;
• company financial analysis and earnings analysis;
• portfolio analysis and comparison tools;
• scenario analysis and risk assessment tools;
• watchlist management and alert services;
• investment research workspaces;
• API access and downloadable reports;
• educational resources and documentation.

4.2 What We Do Not Provide

4.3 Platform Availability

Tetrixx shall use commercially reasonable efforts to maintain Platform availability. However, uninterrupted availability cannot be guaranteed. Service interruptions may occur due to scheduled maintenance, cybersecurity incidents, cloud infrastructure disruptions, third-party service failures, or force majeure events.

4.4 Third-Party Data

The Platform may incorporate data from third-party providers including market data vendors, news organisations, financial statement providers, and exchanges. Tetrixx does not warrant the completeness, accuracy, or uninterrupted availability of third-party data. Third-party licensing restrictions may apply.

4.5 Beta Features

Tetrixx may make available experimental or beta features. Such features may be incomplete, may change without notice, may contain defects, and may be discontinued at any time. You access Beta Features entirely at your own risk.

4.6 Licence

Subject to compliance with these Terms and payment of applicable Fees, Tetrixx grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for its intended purposes during your Subscription Term. All rights not expressly granted are reserved by Tetrixx.

5. Prohibited Use

Unless expressly authorised in writing by Tetrixx, you shall not:

• use the Platform to provide unauthorised investment advisory services or represent AI Outputs as personalised investment advice;
• use the Platform for unlawful securities activities, market manipulation, or insider trading;
• create misleading or fraudulent investment materials using Platform outputs;
• reverse engineer, decompile, or attempt to extract the source code of the Platform except where permitted by law;
• use automated systems, bots, or scrapers to extract Platform content;
• circumvent Subscription limitations or access controls;
• train competing artificial intelligence systems using Platform outputs without prior written consent;
• interfere with Platform operations or attempt to compromise Platform security;
• sell, transfer, assign, or share your account or credentials with any third party without Tetrixx's prior written consent.

Violation of these prohibitions may result in immediate account suspension or termination and may expose you to legal liability.

6. Subscriptions & Fees

6.1 Subscription Plans

Access to the Platform is offered primarily on a subscription basis. Plans may include Free Trial, Retail Investor, Professional Trader, Wealth Advisory, Enterprise, API Subscription, and custom enterprise solutions. Tetrixx reserves the right to modify, consolidate, or introduce Subscription plans at its discretion.

6.2 Fees & Payment

All Fees are payable in advance and in the currency specified during purchase. Unless expressly stated otherwise, Fees are exclusive of VAT, withholding taxes, and other applicable governmental charges, which remain your responsibility.

6.3 Automatic Renewal

Unless automatic renewal has been disabled before the renewal date, Subscriptions shall automatically renew for successive periods equivalent to the original Subscription Term. You authorise Tetrixx to charge the applicable payment method for each renewal period.

6.4 Cancellation & Refunds

You may cancel automatic renewal at any time before the next billing cycle. Cancellation prevents future renewals but does not terminate the current Subscription before expiry. Unless otherwise required by applicable law, Subscription Fees are non-refundable. Unused Services shall not generate credits.

6.5 Non-Payment

Where payment remains outstanding after the applicable due date, Tetrixx may suspend access, restrict premium functionality, disable API access, and recover reasonable collection costs. Tetrixx may also charge lawful interest on overdue amounts where permitted by applicable law.

6.6 Price Changes

Tetrixx may revise Subscription Fees from time to time. Reasonable prior notice shall be provided. Revised pricing shall apply from the next renewal period. Continued use after renewal constitutes acceptance of revised Fees.

7. Intellectual Property

7.1 Tetrixx Property

All rights, title, and interest in and to the Platform — including software, source code, AI models, prompt engineering methodologies, machine learning architectures, databases, analytical frameworks, user interfaces, documentation, and all intellectual property rights — are and shall remain exclusively owned by Tetrixx Labs Limited or its licensors.

No Subscription or access right confers ownership of any part of the Platform or any intellectual property rights. All rights not expressly granted to you are reserved by Tetrixx.

7.2 Your Content

You retain ownership of documents, prompts, portfolios, watchlists, uploaded files, and other information you submit to the Platform (“User Content”). By submitting User Content, you grant Tetrixx a limited, non-exclusive licence to use it solely as necessary to provide the Services.

You represent and warrant that you own or have the right to submit all User Content and that doing so does not infringe the rights of any third party.

7.3 AI Outputs

Reports, summaries, analyses, and other AI-generated content produced through the Platform may be used by you for lawful purposes permitted under these Terms. You may not represent AI Outputs as your own independent professional analysis or distribute them in a manner that infringes the rights of Tetrixx or third parties.

7.4 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant Tetrixx a perpetual, royalty-free, irrevocable right to use, incorporate, and commercialise such feedback without compensation to you.

8. Privacy & Data

8.1 Privacy Policy

The collection, storage, use, and disclosure of your personal information is governed by the Tetrixx Privacy Policy (available at tetrixx.com/privacy), which is incorporated into these Terms by reference.

8.2 Data We Collect

Tetrixx may collect and process:

• Identity & Contact: name, email address, telephone number, country of residence;
• Account: usernames, authentication credentials, subscription history, preferences;
• Financial: payment references, invoices, transaction records (payment card data is processed through certified third-party processors);
• Technical: IP addresses, browser information, device identifiers, authentication logs, API activity;
• Platform Usage: prompts, AI interactions, research activity, watchlists, uploaded documents, system activity logs.

8.3 Your Data Rights

Subject to applicable law, you may exercise rights to:

• access, rectify, or request erasure of your personal data;
• restrict or object to processing;
• request data portability;
• withdraw consent at any time (where consent is the lawful basis);
• lodge complaints with the Nigeria Data Protection Commission.

8.4 Data Security

Tetrixx maintains administrative, technical, and organisational safeguards designed to protect your information, including encryption, multi-factor authentication, network monitoring, access controls, vulnerability management, and disaster recovery procedures. However, no security measures are absolute.

8.5 AI Processing

Information you submit to the Platform may be processed by artificial intelligence systems solely for the purpose of providing the Services. Tetrixx implements reasonable safeguards to ensure AI processing is consistent with these Terms and confidential information is protected.

8.6 Nigeria Data Protection Act

Tetrixx processes personal data in accordance with the Nigeria Data Protection Act, 2023 and associated regulations. Where personal data is transferred outside Nigeria, appropriate safeguards are implemented including contractual protections and adequacy determinations.

9. AI Services

9.1 What AI Does

Certain Services utilise artificial intelligence to organise, analyse, summarise, compare, and explain financial information. AI systems may use large language models, machine learning models, predictive algorithms, and automated analytical systems.

9.2 Limitations You Accept

You acknowledge that:

• AI Outputs are probabilistic rather than deterministic;
• AI systems may not reflect the most current market developments;
• AI models may exhibit statistical bias or produce unintended outcomes;
• certain machine learning models may not permit complete technical explainability;
• AI Outputs are intended to assist human decision-making and not replace professional judgment.

9.3 Prohibited AI Uses

You shall not use the Platform to:

• generate fraudulent financial reports or fabricate investment recommendations;
• create misleading market information or impersonate financial professionals;
• manipulate securities markets or facilitate insider trading;
• train competing AI systems using Platform outputs without prior written consent;
• circumvent AI safety measures implemented by Tetrixx.

9.4 Professional Users

Financial analysts, wealth advisers, accountants, lawyers, and other regulated professionals shall independently review AI Outputs before using them in the provision of professional services. You remain solely responsible for all advice or recommendations provided to third parties.

9.5 AI Incident Reporting

Users are encouraged to promptly report AI Outputs that appear to contain material factual inaccuracies, generate unlawful content, expose confidential information, demonstrate significant bias, or malfunction in a manner affecting Platform integrity. Contact: support@tetrixx.com

10. Confidentiality

10.1 Mutual Obligations

Each party agrees to protect the other's Confidential Information with no less than a reasonable standard of care expected of a prudent technology company. Confidential Information includes business plans, pricing models, source code, AI models, prompt engineering methodologies, algorithms, uploaded documents, portfolio information, investment research, and enterprise workspaces.

10.2 Confidentiality of AI Interactions

Prompts, AI conversations, uploaded financial information, generated reports, and AI Outputs created through the Platform are treated as Confidential Information. Tetrixx shall not intentionally disclose such information except as permitted under these Terms or required by law.

10.3 Your Obligations

You shall not copy, disclose, commercialise, exploit for competitive purposes, or publish Tetrixx's Confidential Information without prior written consent. Confidentiality obligations survive termination of these Terms for five (5) years; obligations relating to trade secrets and proprietary algorithms survive indefinitely.

10.4 Permitted Disclosures

Confidential Information may only be disclosed to employees, directors, professional advisers, and regulators who require access for legitimate purposes and are subject to equivalent confidentiality obligations, or where legally required.

11. Warranties & Disclaimers

11.1 No Warranty of Accuracy

Tetrixx does not warrant that:

• AI Outputs are accurate or complete;
• financial analyses are free from errors;
• market information is current or undelayed;
• data supplied by third parties is accurate;
• financial models are suitable for every circumstance;
• forecasts will materialise.

You remain solely responsible for independently verifying all material information.

11.2 No Investment Warranty

Tetrixx does not warrant that use of the Platform will:

• generate profits or improve investment performance;
• identify profitable investments or prevent investment losses;
• outperform market indices or eliminate financial risk;
• accurately predict future market movements.

All investments involve risk.

11.3 Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, Tetrixx's aggregate liability arising out of or in connection with these Terms, the Platform, or the Services shall be limited. Tetrixx shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity.

11.4 Force Majeure

Tetrixx shall not be responsible for failures or delays arising from events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental restrictions, internet outages, telecommunications failures, cloud infrastructure failures, and pandemics.

11.5 Statutory Rights

Nothing in these Terms excludes, restricts, or limits any statutory rights or remedies that cannot lawfully be excluded under applicable Nigerian law or any other mandatory applicable legislation.

11.6 Your Acknowledgement

By accessing or using the Platform, you expressly acknowledge that you have:

• read and understood this Section;
• accepted the limitations of the Platform and of artificial intelligence;
• accepted that Tetrixx is not responsible for your independent investment decisions;
• agreed that use of the Platform is undertaken at your own risk, subject to Tetrixx's express obligations under these Terms.

12. Governing Law

These Terms and any dispute or claim arising out of or in connection with these Terms, their subject matter, or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

The Parties agree to attempt in good faith to resolve any dispute through negotiation before commencing formal proceedings. Where a dispute cannot be resolved by negotiation, the Parties may pursue resolution through the courts of competent jurisdiction within the Federal Republic of Nigeria, or through such alternative dispute resolution mechanisms as may be agreed in writing.

Where an enterprise agreement or Order Form specifies a different governing law or dispute resolution mechanism, those terms shall prevail.
