Open EULA PDFThese Master Terms of Service (“Terms”) constitute a legally binding agreement between Tetrixx Labs Limited(“Tetrixx”, “we”, “us”, “our”) and every individual or entity that accesses or uses the Tetrixx Financial Analyst CoPilot platform, websites, mobile applications, APIs, AI systems, market intelligence tools, portfolio analytics, research features, and related services (collectively, the “Platform”). By accessing any part of the Platform you agree to be bound by these Terms.
Important Notice Before You Continue
Tetrixx Financial Analyst CoPilot is a cloud-based Software-as-a-Service (“SaaS”) platform designed to assist users in conducting financial research, analysing market information, evaluating investment opportunities, preparing portfolio reviews, assessing financial risks, and generating evidence-based analytical outputs through the responsible application of artificial intelligence.
The Platform is designed to support, but not replace, independent human judgment. Nothing in the Platform constitutes a regulated advisory relationship unless expressly agreed in a separate written agreement executed by an authorised officer of Tetrixx.
A legally binding contract is formed immediately when you:
Electronic acceptance constitutes valid execution for all legal purposes under applicable Nigerian law.
Tetrixx reserves the right to amend these Terms at any time. Material changes will be communicated through the Platform or by email with reasonable advance notice. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.
The following documents form part of the agreement users accept before accessing the Platform. If there is a conflict between a specific enterprise order form and these public terms, the signed enterprise agreement controls for that customer to the extent stated in that agreement.

Where you register on behalf of a company, partnership, financial institution, government agency, trust, or other legal entity, you personally represent and warrant that you have full authority to bind the entity and have obtained all internal approvals necessary to execute these Terms.
The Platform may not be available in all jurisdictions. You are solely responsible for determining whether access to the Platform is lawful within your jurisdiction. Tetrixx may suspend or prohibit access where applicable law, sanctions, or licensing requirements so require.
Minors: The Platform is not intended for individuals under 18 years of age. Tetrixx does not knowingly collect personal data from minors.
To access certain Services you must establish a Tetrixx account and provide accurate, complete, and up-to-date information including your full legal name, email address, country of residence, and professional status.
You are responsible for:
You remain responsible for all activities under your account until Tetrixx receives and reasonably acts upon a notification of compromise.
Tetrixx may immediately suspend or permanently terminate an account where:
You may close your account at any time by following the prescribed procedures. Closure does not extinguish accrued payment obligations or affect data Tetrixx is legally required to retain.

Tetrixx is not a brokerage platform. The Platform does not:
Tetrixx shall use commercially reasonable efforts to maintain Platform availability. However, uninterrupted availability cannot be guaranteed. Service interruptions may occur due to scheduled maintenance, cybersecurity incidents, cloud infrastructure disruptions, third-party service failures, or force majeure events.
The Platform may incorporate data from third-party providers including market data vendors, news organisations, financial statement providers, and exchanges. Tetrixx does not warrant the completeness, accuracy, or uninterrupted availability of third-party data. Third-party licensing restrictions may apply.
Tetrixx may make available experimental or beta features. Such features may be incomplete, may change without notice, may contain defects, and may be discontinued at any time. You access Beta Features entirely at your own risk.
Subject to compliance with these Terms and payment of applicable Fees, Tetrixx grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for its intended purposes during your Subscription Term. All rights not expressly granted are reserved by Tetrixx.
Unless expressly authorised in writing by Tetrixx, you shall not:
Violation of these prohibitions may result in immediate account suspension or termination and may expose you to legal liability.
Access to the Platform is offered primarily on a subscription basis. Plans may include Free Trial, Retail Investor, Professional Trader, Wealth Advisory, Enterprise, API Subscription, and custom enterprise solutions. Tetrixx reserves the right to modify, consolidate, or introduce Subscription plans at its discretion.
All Fees are payable in advance and in the currency specified during purchase. Unless expressly stated otherwise, Fees are exclusive of VAT, withholding taxes, and other applicable governmental charges, which remain your responsibility.
Unless automatic renewal has been disabled before the renewal date, Subscriptions shall automatically renew for successive periods equivalent to the original Subscription Term. You authorise Tetrixx to charge the applicable payment method for each renewal period.
You may cancel automatic renewal at any time before the next billing cycle. Cancellation prevents future renewals but does not terminate the current Subscription before expiry. Unless otherwise required by applicable law, Subscription Fees are non-refundable. Unused Services shall not generate credits.
Where payment remains outstanding after the applicable due date, Tetrixx may suspend access, restrict premium functionality, disable API access, and recover reasonable collection costs. Tetrixx may also charge lawful interest on overdue amounts where permitted by applicable law.
Tetrixx may revise Subscription Fees from time to time. Reasonable prior notice shall be provided. Revised pricing shall apply from the next renewal period. Continued use after renewal constitutes acceptance of revised Fees.
All rights, title, and interest in and to the Platform — including software, source code, AI models, prompt engineering methodologies, machine learning architectures, databases, analytical frameworks, user interfaces, documentation, and all intellectual property rights — are and shall remain exclusively owned by Tetrixx Labs Limited or its licensors.
No Subscription or access right confers ownership of any part of the Platform or any intellectual property rights. All rights not expressly granted to you are reserved by Tetrixx.
You retain ownership of documents, prompts, portfolios, watchlists, uploaded files, and other information you submit to the Platform (“User Content”). By submitting User Content, you grant Tetrixx a limited, non-exclusive licence to use it solely as necessary to provide the Services.
You represent and warrant that you own or have the right to submit all User Content and that doing so does not infringe the rights of any third party.
Reports, summaries, analyses, and other AI-generated content produced through the Platform may be used by you for lawful purposes permitted under these Terms. You may not represent AI Outputs as your own independent professional analysis or distribute them in a manner that infringes the rights of Tetrixx or third parties.
If you provide feedback, suggestions, or ideas regarding the Platform, you grant Tetrixx a perpetual, royalty-free, irrevocable right to use, incorporate, and commercialise such feedback without compensation to you.
The collection, storage, use, and disclosure of your personal information is governed by the Tetrixx Privacy Policy (available at tetrixx.com/privacy), which is incorporated into these Terms by reference.

Tetrixx maintains administrative, technical, and organisational safeguards designed to protect your information, including encryption, multi-factor authentication, network monitoring, access controls, vulnerability management, and disaster recovery procedures. However, no security measures are absolute.
Information you submit to the Platform may be processed by artificial intelligence systems solely for the purpose of providing the Services. Tetrixx implements reasonable safeguards to ensure AI processing is consistent with these Terms and confidential information is protected.
Tetrixx processes personal data in accordance with the Nigeria Data Protection Act, 2023 and associated regulations. Where personal data is transferred outside Nigeria, appropriate safeguards are implemented including contractual protections and adequacy determinations.
AI Disclaimer — Please Read Carefully
Artificial intelligence systems used within the Platform generate probabilistic responses. AI Outputs may contain inaccuracies, omissions, or incomplete information. AI-generated conclusions should always be independently verified. AI Outputs do not constitute financial advice, legal advice, tax advice, or any form of professional advice. Reliance upon AI Outputs is undertaken at your sole discretion and risk.
Certain Services utilise artificial intelligence to organise, analyse, summarise, compare, and explain financial information. AI systems may use large language models, machine learning models, predictive algorithms, and automated analytical systems.
You acknowledge that:
You shall not use the Platform to:
Financial analysts, wealth advisers, accountants, lawyers, and other regulated professionals shall independently review AI Outputs before using them in the provision of professional services. You remain solely responsible for all advice or recommendations provided to third parties.
Users are encouraged to promptly report AI Outputs that appear to contain material factual inaccuracies, generate unlawful content, expose confidential information, demonstrate significant bias, or malfunction in a manner affecting Platform integrity. Contact: support@tetrixx.com
Each party agrees to protect the other's Confidential Information with no less than a reasonable standard of care expected of a prudent technology company. Confidential Information includes business plans, pricing models, source code, AI models, prompt engineering methodologies, algorithms, uploaded documents, portfolio information, investment research, and enterprise workspaces.
Prompts, AI conversations, uploaded financial information, generated reports, and AI Outputs created through the Platform are treated as Confidential Information. Tetrixx shall not intentionally disclose such information except as permitted under these Terms or required by law.
You shall not copy, disclose, commercialise, exploit for competitive purposes, or publish Tetrixx's Confidential Information without prior written consent. Confidentiality obligations survive termination of these Terms for five (5) years; obligations relating to trade secrets and proprietary algorithms survive indefinitely.
Confidential Information may only be disclosed to employees, directors, professional advisers, and regulators who require access for legitimate purposes and are subject to equivalent confidentiality obligations, or where legally required.
General Disclaimer
The Platform and all Services are made available on an “as is,” “as available,” and “with all faults” basis, except to the extent expressly stated otherwise in these Terms or prohibited by applicable law. To the fullest extent permitted by law, Tetrixx disclaims all warranties, representations, and guarantees not expressly provided in these Terms.
Tetrixx does not warrant that:

Tetrixx does not warrant that use of the Platform will:
All investments involve risk.
To the maximum extent permitted by applicable Nigerian law, Tetrixx's aggregate liability arising out of or in connection with these Terms, the Platform, or the Services shall be limited. Tetrixx shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity.
Tetrixx shall not be responsible for failures or delays arising from events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental restrictions, internet outages, telecommunications failures, cloud infrastructure failures, and pandemics.
Nothing in these Terms excludes, restricts, or limits any statutory rights or remedies that cannot lawfully be excluded under applicable Nigerian law or any other mandatory applicable legislation.
By accessing or using the Platform, you expressly acknowledge that you have:
These Terms and any dispute or claim arising out of or in connection with these Terms, their subject matter, or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
The Parties agree to attempt in good faith to resolve any dispute through negotiation before commencing formal proceedings. Where a dispute cannot be resolved by negotiation, the Parties may pursue resolution through the courts of competent jurisdiction within the Federal Republic of Nigeria, or through such alternative dispute resolution mechanisms as may be agreed in writing.
Where an enterprise agreement or Order Form specifies a different governing law or dispute resolution mechanism, those terms shall prevail.
